These Terms of Service ("Terms") govern your use of lianasourcinggroup.com, the client reorder portal, and any related pages (together, the "Site"). Liana Sourcing Group is a trade name (DBA) of MTE27 ("Liana," "we," "us," or "our"). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
1. Business Use
The Site is intended for businesses and individuals acting on behalf of a business. By using the Site, you confirm that you are at least 18 years old and, if you submit information for a company, that you are authorized to do so.
2. Website Information, Quotes, and Orders
- Information on the Site, including descriptions of products, capabilities, industries, lead times, and minimum order quantities, is general information and is not an offer to sell.
- Cost comparisons and estimates are based on the information you provide and current market conditions. They are not a guarantee of any particular price or savings.
- Quotes, samples, purchase orders, pricing, payment, production, delivery, and quality matters are governed exclusively by the applicable written quote and our separate Sales Terms, not by these Terms. If these Terms conflict with a signed quote or the Sales Terms, the quote or Sales Terms control.
3. Client Reorder Portal
- Access codes are issued to clients and are confidential. You are responsible for keeping your code secure, for limiting its use to people authorized by your company, and for activity under your code.
- Tell us promptly at chris@lianasourcinggroup.com or cherry@lianasourcinggroup.com if you believe your code has been compromised. We may change, suspend, or revoke access at any time.
- Submitting a reorder or new-item request is a request only. It does not create an order or obligation until we confirm pricing and lead time in writing.
4. Information You Submit
When you submit product lists, specifications, pricing, photos, links, or other materials ("Submissions"), you confirm that they are accurate to the best of your knowledge and that you have the right to share them. You grant us a non-exclusive, royalty-free license to use, copy, and share your Submissions as needed to evaluate your request and provide our services, including sharing them with manufacturers and logistics providers for your order. Please do not submit confidential third-party information you are not authorized to share, or sensitive personal information. Our handling of personal information is described in our Privacy Policy.
5. Intellectual Property
The Site and its content, including text, graphics, logos, images, and design, are owned by or licensed to us and are protected by intellectual property laws. "Liana," "Liana Sourcing Group," and related logos are our trademarks. You may view and print pages for your own business use, but you may not copy, modify, distribute, or use Site content for any other purpose without our written permission.
6. Acceptable Use
You agree not to:
- Use the Site for any unlawful, fraudulent, or misleading purpose.
- Submit false information or impersonate any person or business.
- Attempt to gain unauthorized access to the Site, the reorder portal, or our systems, or share access codes with unauthorized people.
- Upload viruses or malicious code, or interfere with the Site's operation or security.
- Use bots, scrapers, or automated tools to collect content or submit forms.
7. Third-Party Sites and Affiliate Disclosure
The Site contains links to third-party websites that we do not control, and we are not responsible for their content, products, or practices. We are an affiliate of PrivaSweep. If you sign up through our link, we may receive a commission or fundraising credit. This does not change the price you pay, and we do not share your information with PrivaSweep.
8. Disclaimers
THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." Any warranties for products are provided only in the applicable quote or Sales Terms.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). This section does not limit liability under a signed quote or the Sales Terms, which are governed by their own terms.
10. Indemnification
You agree to indemnify and hold harmless MTE27, Liana Sourcing Group, and their owners, officers, and employees from any claims, losses, and expenses (including reasonable attorneys' fees) arising from your Submissions, your misuse of the Site, or your violation of these Terms.
11. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or your use of the Site will be brought exclusively in the state or federal courts located in Riverside County, California, and you consent to the jurisdiction of those courts.
12. Changes and Termination
We may update these Terms at any time by posting the revised version on this page with a new effective date. Your continued use of the Site after changes are posted means you accept them. We may suspend or end your access to the Site or the reorder portal at any time.
13. General
If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce any provision is not a waiver. These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding use of the Site.
